Terms of Service - The Hello POS

Wave Technologies, LLC d/b/a The Hello POS (“Hello POS”, "Hello", “we”, “us”, or “our”)
1. Overview
The Hello POS is a hosted retail platform designed for campus bookstores and related operations, including point-of-sale, e-commerce, inventory management, and reporting. By accessing or using The Hello POS platform (the “Platform”), you (“Client”, “you”, or “Licensee”) agree to these Terms of Service (“Terms”). These Terms govern your use of the Platform and your relationship with Hello POS.
2. License to Use the Platform
Hello POS grants you a non-exclusive, non-transferable, non-sublicensable license to use the Platform solely for your internal business operations. You may not:
• Resell, sublicense, or distribute the Platform
• Reverse engineer or attempt to extract source code
• Modify or create derivative works of the Platform
• Use the Platform for any unlawful purpose
All rights not expressly granted are retained by Hello POS.
3. Ownership of Data
You retain full ownership of all data you input into the Platform, including:
• Customer data
• Transaction data
• Inventory data
• Operational data
Hello POS does not claim ownership of your data.You grant Hello POS a limited, non-exclusive license to use your data solely to:
• Operate and support the Platform
• Provide services to you
• Improve the Platform (in aggregated, non-identifiable ways)
Upon termination, Hello POS will provide your data in a commercially reasonable format within a reasonable period of time or delete your data in a reasonable period of time.
4. User Accounts and Security
You are responsible for:
• Maintaining the confidentiality of usernames and passwords
• All activity conducted under your accounts
• Notifying us of any unauthorized access
Hello POS is not liable for losses resulting from compromised credentials due to your failure to secure access.
5. Acceptable Use
You agree not to:
• Upload malicious code, viruses, or harmful content
• Attempt unauthorized access to the Platform or other users’ data
• Use automated scraping or crawling tools
• Transmit unlawful, abusive, or obscene material
We reserve the right to suspend or terminate access for violations.
6. Platform Availability & Modifications
The Platform is provided as a hosted, cloud-based service. We may update, enhance, or modify functionality at any time. Scheduled maintenance may result in temporary downtime. We use commercially reasonable efforts to maintain uptime, but do not guarantee uninterrupted availability.
7. Fees and Payment
Use of the Platform is subject to fees as defined in your agreement with Hello POS. Fees may include implementation, licensing, and usage-based components. Payments are due according to agreed terms. Late payments may incur fees or service suspension.
8. Compliance Responsibilities
You are responsible for:
• Compliance with all applicable laws and regulations
• Proper handling of customer data within your control
• Ensuring you have rights to any data you upload
Hello POS maintains industry-standard security practices and aligns with applicable PCI DSS requirements, but does not store cardholder data directly.
9. Warranties
Hello POS warrants that the Platform will substantially perform as described in its documentation. However, except for this limited warranty:The Platform is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Platform will meet all requirements or that results will be error-free or uninterrupted.
10. Limitation of Liability
To the maximum extent permitted by law, Hello POS is not liable for indirect, incidental, or consequential damages, including:
• Loss of revenue
• Loss of data
• Business interruption
Total liability is limited to the fees paid to Hello POS in the preceding 12 months.
11. Indemnification
You agree to indemnify and hold harmless Hello POS from claims arising out of:
• Your use of the Platform
• Your data
• Your violation of these Terms or applicable law
12. Termination
Access to the Platform may be terminated:
• For breach of these Terms
• For non-payment
• By agreement between the parties
Upon termination:
• You must cease use of the Platform
• You will receive your data as outlined above, or
• Your data will be deleted after an appropriate period of time
13. Relationship of the Parties
Hello POS and its clients operate as independent contractors. Nothing in these Terms creates a partnership, joint venture, or agency relationship.
14. Governing Law
These Terms are governed by the laws of the State of Arkansas, unless otherwise agreed in a separate written agreement.
15. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
